The Code of Conduct applies throughout ICI and our subsidiaries worldwide. We encourage business partners (agents, distributors, JV partners, customers, suppliers) to operate to consistent standards and ethical values.
The code has been reviewed and updated during 2006, and the revised code is being implemented in 2007 with global roll-out and training activity
Management system
There is a clear reporting process in the event of a breach of the Code, which includes a confidential “whistle-blowing” programme, Speak Up. During 2006 we formed an Ethics Committee, comprising ICI’s Group Vice President, Sustainability, General Council and Chief Internal Auditor, to provide additional support to business managers in resolving any ethical issues.
Compliance is monitored via an annual Letter of Assurance (self certification) and the Group Internal Audit process, which operates as an independent audit process. Non-compliance is reported to the Group Vice President, Sustainability and the Chief Internal Auditor, who report annually to the ICI Board on the Code’s effectiveness and operation.
Speak Up, our “Whistle blowing” programme is managed by two independent organizations which specialize in providing employees of companies like ICI with a safe and confidential channel to report illegal, unethical or improper business conduct. All allegations are reported to Group Vice President, Sustainability who works with business management, and where necessary, the Chief Internal Auditor and the General Counsel, to remedy the situations. The Group VP Sustainability reports each quarter to the Chief Executive and the Executive Management Team and every six months to the Audit Committee of the ICI Board.An annual reminder about the system with a summary of the types of issues raised during the year is communicated to employees via normal business communication routes.
